TERMS OF SERVICE

These Terms of Service apply to creative and video production services supplied by Eugene Zalan trading as IMORI FILMS (“IMORI FILMS”, “we”, “us” or “our”). By accepting a quotation, commissioning work or paying a booking payment, the client agrees to these Terms unless different terms have been agreed in writing.

  1. SERVICES
    IMORI FILMS provides creative production services including short-form films, commercials, branded films, visual content, music videos, concept films and related creative services. The relevant quotation, proposal or written correspondence describes the agreed scope, deliverables, format, duration, intended use, schedule and price. Work outside the agreed scope may be quoted and charged separately.

  2. QUOTATIONS AND PROJECT CONFIRMATION
    A quotation is based on information available when issued. Unless otherwise stated, a project is confirmed when the client accepts the quotation or scope in writing and the required booking payment has been received. Changes to concept, scope, deliverables or production requirements may affect price and delivery schedule.

  3. PAYMENT
    Unless otherwise agreed in writing, 50% of the agreed project fee is payable to confirm the project and reserve production time, and the remaining 50% is payable before delivery of final clean, unwatermarked or full-resolution files. IMORI FILMS may withhold final deliverables until outstanding sums are paid. Approved additional services, revisions or costs may be invoiced separately.

  4. CANCELLATION
    The booking payment reserves production time and is credited toward the project price. If a client cancels after work has begun, IMORI FILMS may retain or charge an amount reasonably reflecting completed work, reserved time and non-recoverable costs. Mandatory consumer cancellation rights are not restricted.

  5. CLIENT DELAYS
    The client is responsible for timely information, materials, approvals and feedback. Delivery dates may be extended for late feedback or materials, scope changes, or circumstances outside IMORI FILMS’ reasonable control.

  6. REVISIONS
    Unless otherwise stated, two rounds of reasonable revisions are included. A round means one consolidated set of feedback. Additional revisions may be charged separately. Revisions do not include a complete change of concept, direction, script or scope after approval.

  7. CLIENT-SUPPLIED MATERIALS
    The client confirms it has permissions for supplied logos, trademarks, photographs, footage, music, text, product imagery, designs, brand assets and other intellectual property, and remains responsible for claims arising from materials supplied without necessary permissions.

  8. INTELLECTUAL PROPERTY
    Unless expressly agreed otherwise in writing, copyright in original creative work remains with IMORI FILMS. Following full payment, the client receives a perpetual commercial licence for the final approved deliverables and agreed uses, including websites, social media, digital advertising, presentations and promotional campaigns. Working files, unused concepts, drafts, methods and underlying materials are not transferred. A copyright assignment may be agreed separately in writing and may carry an additional fee.

  9. THIRD-PARTY AND LICENSED MATERIAL
    Music, footage, fonts, software-generated elements, stock materials, generative content and other third-party components may have separate licence restrictions. IMORI FILMS grants only rights it is reasonably entitled to grant.

  10. MUSIC
    Use of supplied music is subject to the applicable licence and agreed final-film use. Exclusive ownership, copyright registration or exclusivity is not guaranteed unless agreed in writing.

  11. SOURCE AND WORKING FILES
    Source files, editable project files, intermediate production files, unused concepts and working materials are not included unless expressly listed or agreed separately.

  12. PORTFOLIO USE
    Unless confidentiality is requested in writing before publication, IMORI FILMS may show completed work or reasonable extracts in its portfolio, website, social media, showreels, presentations and promotional materials.

  13. CREATIVE AND TECHNICAL VARIATION
    Creative production involves subjective artistic decisions. Minor differences between concepts, previews and final output do not alone constitute a failure to provide the agreed service. IMORI FILMS will use reasonable professional skill and care.

  14. ADVERTISING AND COMMERCIAL RESULTS
    No guarantee is made regarding sales, enquiries, conversions, audience growth, views, engagement, advertising performance, revenue or return on investment.

  15. LIABILITY
    Nothing in these Terms limits liability where unlawful. To the fullest extent permitted by law, IMORI FILMS is not liable for indirect or consequential commercial loss. For business clients, total liability for a project will not normally exceed fees actually paid for that project, except where liability cannot legally be limited.

  16. CONSUMER RIGHTS
    Statutory consumer rights that cannot legally be waived are not removed or reduced.

  17. FORCE MAJEURE
    IMORI FILMS is not responsible for delay or failure caused by circumstances reasonably outside its control, including serious technical failure, illness, service outages, natural events, government restrictions or failures of essential third-party services.

  18. GOVERNING LAW
    These Terms are governed by the laws of England and Wales.
